This note gives a brief summary of the Bribery Act. It explains the offences under the Act, one of which is corporate liability. In the event that a person associated with the company commits an offence the company can also be held liable unless they can rely on the “adequate procedures” defence. The note explains the six principles and procedures that need to be put in place to enable reliance on this defence if need be.
